Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the ResmanApp mobile application, the website at https://resmanexchange.com, and related services (together, the "Services") provided by Resman Investment Limited, operating as Resman Exchange ("Resman", "we", "us" or "our").

By creating an account or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

2. Eligibility and Identity Verification

You must be of legal age and have the legal capacity to enter into a binding agreement in your place of residence to use the Services.

We are required to verify the identity of our customers. You agree to provide accurate, current and complete information and documents when requested. We may decline to open an account, or restrict an account, where verification cannot be completed.

3. Accurate Information and Account Security

You must keep your account information accurate and up to date.

You are responsible for keeping your login credentials, PINs, one-time codes and devices secure, and for all activity carried out through your account using those credentials. You must notify us promptly at info@resmanexchange.com if you believe your account has been accessed without your authority.

4. Description of Services

The Services may include buying and selling supported digital assets, converting digital assets to fiat currency, bill payments, gift cards, virtual cards and related features, as made available in the app from time to time.

Only services shown as available in the app are currently offered. Products or features described as planned, upcoming or under development are not yet available, and their future availability, scope and timing are not guaranteed.

Resman is not a bank. Nothing in the Services constitutes investment advice or a guarantee of investment performance, profit or a fixed return.

5. Transactions, Fees and Customer Responsibilities

You are responsible for reviewing all transaction details, including amounts, exchange rates, wallet addresses, blockchain networks, recipients and applicable fees, before confirming a transaction.

You are responsible for applicable fees, network (gas) charges and third-party charges shown or communicated to you before or at the time of the transaction.

Many digital-asset transactions are irreversible once submitted to a blockchain. Where a transaction is irreversible or cannot be recovered, Resman does not guarantee that funds or assets can be retrieved.

6. Prohibited Activity

You must not use the Services for any fraudulent, unlawful, abusive or deceptive purpose, including money laundering, terrorist financing, sanctions evasion, the use of stolen funds or cards, impersonation, or attempts to interfere with or gain unauthorised access to the Services or other accounts.

7. Transaction Review, Restriction, Suspension and Termination

We may review transactions, request additional information, delay or decline a transaction, or temporarily restrict, suspend or close an account where we reasonably believe this is necessary to comply with applicable law, to prevent fraud or financial crime, to protect you or other customers, or because of a material breach of these Terms.

We will exercise these rights fairly and in accordance with applicable law, and, where legally permitted, inform you of the action taken. You may close your account at any time, subject to completing or resolving any pending transactions and obligations.

8. Service Availability, Changes and Third Parties

We may change, maintain, update or discontinue features of the Services. Scheduled maintenance or unexpected interruptions may affect access.

The Services depend on third parties, including public blockchain networks, banks, payment processors, telecommunications providers, card issuers, gift-card providers, wallet, custody and liquidity providers. These third parties are independent of Resman.

Resman does not guarantee uninterrupted access, continuous availability, error-free operation, a particular transaction-processing time, a particular exchange rate, transaction recovery, or the availability of every digital asset or network.

9. Digital-Asset Risk

Digital-asset prices can fluctuate significantly, and you may lose some or all of the value of your digital assets. Please read our Risk Disclosure before transacting.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Resman Investment Limited, operating as Resman Exchange, and its directors, officers, employees, affiliates, contractors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, anticipated savings, data, or business interruption arising out of or relating to the use of, inability to use, or interruption of the Services, any transaction conducted through the Services, or any third-party service or network.

To the fullest extent permitted by applicable law, Resman shall not be liable for losses arising from incorrect transaction details supplied or confirmed by a customer (including an incorrect wallet address or incorrect blockchain network), unsupported assets or networks, blockchain congestion, public network failures, third-party service interruptions, compromised credentials or unauthorised access attributable to the customer's failure to protect account credentials or secure their device, or circumstances beyond Resman's reasonable control, except to the extent such loss results from Resman's own breach of an applicable non-excludable legal duty.

Resman is not responsible for delays, interruptions, congestion, fees, failures or errors originating from public blockchain networks, telecommunications providers, banks, payment processors, third-party wallets, custody providers, liquidity providers or other independent third parties, except to the extent applicable law makes Resman responsible.

To the maximum extent permitted by law, Resman excludes liability for losses arising from circumstances beyond its reasonable control, including qualifying network failures, outages, governmental actions, emergencies and third-party service disruptions.

The Services are provided subject to their applicable terms, limitations, and operational conditions. Resman does not warrant uninterrupted or error-free availability and does not guarantee the recovery of failed, delayed, incorrectly routed, or irreversible transactions.

Nothing in these Terms excludes or limits liability where that exclusion or limitation is prohibited by applicable law, including any liability that cannot lawfully be excluded for fraud, wilful misconduct, or other non-excludable conduct. Any liability that cannot legally be excluded or restricted remains subject to applicable law, and nothing in these Terms affects your mandatory consumer rights.

11. Complaints and Disputes

If you have a complaint, please contact us at info@resmanexchange.com with your account details and a description of the issue. We will acknowledge and handle complaints fairly and within a reasonable time.

If a complaint cannot be resolved directly, you may pursue any remedy available to you under applicable law, including referral to a competent regulator or court.

12. Notices and Amendments

We may send notices to you through the app, by email or by other contact details you have provided.

We may amend these Terms from time to time. Material changes will be communicated in advance where required by law and will take effect in accordance with applicable law. Amendments do not apply retroactively.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory rights you may have under the laws applicable to you.
